Terms of Service

These Terms of Service ("Terms") govern your use of marylandregisteredagent.co (the "Site") and the resident agent services (the "Services") provided by Maryland Registered Agent.co ("we," "us," or "our"). By using our Site or enrolling in Services, you accept these Terms.

1. Services Described

Maryland Registered Agent.co provides resident agent services in Maryland, including:

• Maintaining a physical Maryland street address as your registered office on file with SDAT
• Accepting service of process, legal documents, and state correspondence on your behalf
• Scanning received documents and delivering them electronically through a secure portal
• Sending compliance reminders for annual filings and other deadlines
• Providing online access to your document archive

We provide resident agent services only. We are not a law firm and do not offer legal advice, tax preparation, or business formation services.

2. Eligibility

You must be at least 18 years old and have authority to bind the business entity being enrolled. All enrollment information must be accurate and current.

3. Pricing and Payment

• Service costs $99 per year
• Terms begin on enrollment and renew annually unless cancelled
• Payment is due at enrollment and upon each annual renewal
• Accepted payment methods are shown during checkout
• Pricing changes require 30 days advance written notice before renewal

4. Your Responsibilities

You agree to:

• Provide truthful, current business and contact information
• Notify us promptly of changes to entity name, address, or officers
• Retrieve forwarded documents and respond to them timely
• Keep your entity in good standing with SDAT
• Use our address solely for resident agent purposes

5. Document Processing

• We accept documents at our Maryland address during business hours (Mon-Fri, 9am-5pm ET)
• Received documents are scanned and uploaded to your portal, typically the same business day
• We do not interpret or act upon documents received on your behalf
• Physical originals are retained briefly, then securely destroyed

6. No Legal Advice

Maryland Registered Agent.co is not a law firm. Nothing in our Services constitutes legal counsel. We do not advise on legal matters, represent you in proceedings, or interpret documents. Consult a licensed Maryland attorney for legal questions.

7. Limitation of Liability

To the fullest extent permitted by Maryland law:

• Our aggregate liability for all claims shall not exceed fees paid by you in the 12 months before the claim
• We are not liable for indirect, incidental, consequential, special, or punitive damages
• We are not liable for delays resulting from events outside our reasonable control

8. Indemnification

You agree to indemnify and hold harmless Maryland Registered Agent.co, its owners, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorney fees) resulting from your use of Services, breach of these Terms, or failure to maintain entity compliance.

9. Cancellation

• Cancel anytime by emailing support@marylandregisteredagent.co
• Cancellation takes effect at the end of your current paid term
• No partial-term refunds except at our sole discretion
• Upon cancellation, you must designate a replacement resident agent with SDAT

10. Service Suspension

We may suspend or terminate Services if:

• Payment is overdue and unresolved after notice
• You provided materially false enrollment information
• Our address is used for purposes beyond resident agent service
• Continuing service would violate law

11. Governing Law

These Terms are governed by Maryland law. Disputes shall be resolved in Maryland courts of competent jurisdiction.

12. Modifications

We may revise these Terms. Updated versions take effect when posted with a new effective date. Continued use constitutes acceptance.

13. Severability

If any provision is unenforceable, the remaining Terms continue in full effect.

14. Entire Agreement

These Terms and our Privacy Policy form the complete agreement between you and Maryland Registered Agent.co regarding the Services.
